Welcome to Xheris, operated by Xheris OÜ, registered in Estonia. These Terms of Use ("Terms") form a binding legal agreement between you ("User," "you," "your") and Xheris OÜ ("Xheris," "we," "us," "our") regarding your use of our websites, applications, platforms, and related services (the "Services").

Xheris reserves the right to amend these Terms at any time. Updated versions will be posted on our website, and continued use constitutes acceptance of changes.

Xheris is a property and repair management platform that provides an ecosystem connecting:

• Tenants and property owners
• Property managers and syndics
• Contractors and subcontractors
• Material and service suppliers

You may use the Services only if you meet the following conditions:

• You are at least 18 years old (or legal majority in your jurisdiction)
• You have full legal capacity to enter into a contract
• You use the Services for lawful purposes only
• You provide accurate and complete registration information

• You must register to access certain Services
• You are responsible for maintaining the confidentiality of your login credentials
• You are fully responsible for activities under your account
• You must notify Xheris immediately of unauthorized use
• Xheris reserves the right to suspend or close accounts at its discretion

By using Xheris, you agree to:

• Provide true, current, and complete information
• Use the Services only for their intended purposes
• Comply with all applicable laws, regulations, and codes of practice
• Respect the rights of other users and third parties

• Contractors are independent providers; Xheris is not a party to contracts between users and contractors
• Suppliers are solely responsible for the accuracy, safety, and compliance of their products
• Xheris does not guarantee the quality, legality, or completion of services provided by contractors or suppliers
• Users release Xheris from liability for disputes, delays, defects, or damages arising from third-party services

The platform, software, databases, content, trademarks, and designs are the exclusive property of Xheris OÜ or its licensors.

• Users are granted a limited, non-transferable license to use the Services
• You may not copy, reverse engineer, distribute, or exploit our intellectual property
• Content uploaded by users remains their property, but by uploading, you grant Xheris a license to use it for operating the Services

Your use of the Services is subject to our Privacy Policy, which explains how we process personal data.

Users acknowledge and agree that:

• Data may be stored and processed inside or outside the EU/EEA
• Contractors, suppliers, and managers may access user data relevant to their role
• Xheris may share data with authorities when legally required
• Users must ensure that data they upload is lawful and does not violate third-party rights

• Contractors and suppliers must comply with health & safety, tax, labor, and licensing regulations
• Property managers must comply with tenancy and landlord-tenant laws
• Xheris may suspend or remove any account that breaches compliance obligations

To the fullest extent permitted by law:

• Xheris is not liable for indirect, incidental, consequential, or punitive damages
• Our liability is capped at the total fees paid by you in the last 12 months
• We are not responsible for lost profits, contracts, or business opportunities

You agree to indemnify and hold harmless Xheris OÜ and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your breach of these Terms
• Your violation of laws or third-party rights

• Xheris strives for high availability but does not guarantee 100% uptime
• Maintenance, updates, or technical issues may cause downtime
• Xheris will provide notice of scheduled outages where possible

• You may close your account at any time
• Xheris may suspend or terminate accounts that violate these Terms
• Termination does not remove obligations related to payments, indemnification, or liability limits

• These Terms are governed by the laws of Estonia and the European Union
• Disputes should first be resolved amicably
• If unresolved, disputes shall be submitted to the courts of Tallinn, Estonia
• For EU consumers, the Online Dispute Resolution (ODR) platform is available

• Entire Agreement – These Terms and the Privacy Policy form the entire agreement
• Severability – If any clause is invalid, the remainder remains valid
• Assignment – Users may not transfer rights without written consent
• Force Majeure – Xheris is not liable for delays caused by events beyond its control (natural disasters, strikes, wars, cyberattacks)
